Think Beyond Practice LLC — Version 1.2 | Effective Date: Date of Provider's acceptance
This Credentialing Hub Autopilot Service Agreement ("Agreement") is entered into between Think Beyond Practice LLC, a Washington limited liability company ("Think Beyond Practice," "we," "us," or "our"), and the individual healthcare provider, professional practice, or healthcare entity accepting this Agreement ("Provider," "you," or "your").
This Agreement governs Provider's purchase and use of the Credentialing Hub + Autopilot tier ("Autopilot Service") offered by Think Beyond Practice. This Agreement supplements, and is incorporated by reference into, the Think Beyond Practice Terms of Service ("Terms of Service") and, where applicable, the Business Associate Agreement ("BAA") executed between Provider and Think Beyond Practice.
By accepting this Agreement, Provider represents that the individual accepting has the authority to bind Provider to this Agreement.
The Autopilot Service provides automated credentialing application support for Provider with health insurance payers. Specifically, Think Beyond Practice will, on Provider's behalf and based on information Provider supplies:
(a) Maintain and organize Provider's credentialing data within the Credentialing Hub
(b) Send credentialing application correspondence to commercial and government health insurance payers identified by Provider
(c) Track application status across payers and maintain records of communications
(d) Send automated follow-up communications to payers on Provider's behalf at 30, 60, and 90 day intervals
(e) Receive and parse inbound replies from payers, categorize them, and notify Provider of application status changes, payer requests for additional information, approvals, denials, and other material developments
(f) Provide status tracking and dashboards summarizing the state of pending applications
(g) Notify Provider when payer responses require Provider's direct action
The Autopilot Service does NOT include:
(a) Negotiation of contract rates, terms, or fee schedules with payers
(b) Legal advice regarding credentialing, contracts, or regulatory compliance
(c) Initial obtainment or maintenance of professional licensure, board certification, malpractice insurance, or other underlying credentials (Provider is responsible for these)
(d) NPI registration or maintenance (Provider is responsible)
(e) CAQH ProView profile creation (we may support maintenance once profile is established)
(f) Hospital privileging applications (separate process; not covered)
(g) Re-credentialing or re-attestation cycles after initial credentialing is complete (these may be offered as a separate service)
(h) Resolution of disputed claims, denied claims, or post-credentialing billing issues
(i) Representation in payer audits, investigations, or disputes
Think Beyond Practice will use commercially reasonable efforts to perform the Autopilot Service efficiently, accurately, and on Provider's behalf. Credentialing timelines, payer responsiveness, and outcomes are subject to factors outside of Think Beyond Practice's control. Think Beyond Practice does not guarantee:
Approval of any application by any payer
Specific timelines for application processing
Specific contract terms, fee schedules, or rates
That a payer will accept new providers in any given network
That existing applications will be processed without delays
Notwithstanding the Autopilot Service, Provider remains responsible for:
Maintaining current and accurate credentialing data within the Credentialing Hub
Responding promptly to payer requests for information that require Provider's direct input
Maintaining underlying professional credentials in good standing
Reviewing all applications, communications, and submissions before release where review is requested
All clinical, legal, and business decisions
All payer contractual obligations once contracts are executed
Think Beyond Practice acts as Provider's authorized representative for limited credentialing administrative purposes only, as defined in Section 2. Think Beyond Practice does not assume Provider's professional, clinical, or contractual obligations.
By accepting this Agreement, Provider grants Think Beyond Practice limited agency authority to act as Provider's authorized representative for the specific administrative purposes described below. This limited agency exists only for the credentialing administrative purposes expressly authorized in this Agreement. The broader business relationship between Think Beyond Practice and Provider is that of independent contractor and client, as described in Section 10.
Within this limited agency, Provider authorizes Think Beyond Practice to:
(a) Submit credentialing applications and supporting documentation that Provider has reviewed or expressly authorized to payers identified by Provider
(b) Forward to payers documentation Provider has supplied (license verifications, certifications, malpractice insurance certificates, tax forms, and similar documentation)
(c) Communicate with payers about the procedural status of pending applications (where the application is in review, what documents have been received, expected timelines based on payer responses)
(d) Receive correspondence from payers regarding pending applications and forward such correspondence to Provider
(e) Follow up with payers on application status using factual inquiries (e.g., "What is the current status of Provider's pending application?")
Think Beyond Practice will obtain Provider's review and approval before:
(a) Responding to any payer question about Provider's clinical practice, scope of practice, patient population, treatment approaches, or services provided
(b) Responding to any question that asks for Provider's representation about practice patterns, capacity, or specialty focus
(c) Submitting any document that Provider has not reviewed or expressly authorized
(d) Responding to any payer inquiry about Provider's licensure, certification, sanctions, disciplinary history, or malpractice claims beyond simple confirmation of facts already documented in Provider's file
(e) Accepting or declining payer contract offers, fee schedules, or terms
(f) Making representations about Provider's willingness to accept specific patient populations, conditions, or referral sources
(g) Any communication that, in Think Beyond Practice's reasonable judgment, might constitute a representation about Provider's professional practice or could create a contractual obligation
When Think Beyond Practice receives a payer inquiry that falls into any of these categories, Think Beyond Practice will notify Provider, request Provider's response or guidance, and forward Provider's response to the payer.
This limited agency does NOT extend to:
(a) Signing contracts on Provider's behalf
(b) Accepting or rejecting payer offers, terms, or fee schedules
(c) Making representations about Provider's clinical practice or scope (without Provider's prior review per Section 2.1.1)
(d) Responding to payer audits or investigations
(e) Acting on Provider's behalf in any matter involving litigation or dispute resolution
(f) Acting on Provider's behalf in any matter requiring Provider's individual professional judgment
Provider may be asked to sign payer-specific authorization forms (such as designated representative forms, agency forms, or HIPAA authorization forms) to enable Think Beyond Practice to act on Provider's behalf with specific payers. Provider agrees to execute such forms as reasonably required.
Provider may revoke this authorization at any time by written notice to credentialing@thinkbeyondpractice.com. Revocation is effective upon receipt and takes effect for new actions; actions already in progress will be completed or transitioned in coordination with Provider.
The Autopilot Service is available through two purchase paths:
(a) Standalone one-time purchase at the price displayed at the time of checkout (currently $599). This provides lifetime access to the Autopilot Service features within the Credentialing Hub for as long as the Credentialing Hub remains operational.
(b) Included as part of an active Think Beyond Practice membership ($119/month). The Autopilot Service is available for the duration of Provider's active membership. If membership is canceled, Autopilot Service access is suspended unless Provider purchases standalone access.
Standalone purchases are processed as a single payment at the time of checkout via Stripe. Payment must be completed in full before access is granted.
Standalone purchases include a fifteen (15) day money-back guarantee from the date of purchase. If Provider requests a refund within fifteen days by contacting billing@thinkbeyondpractice.com, Think Beyond Practice will refund the purchase price in full. After fifteen days, purchases are non-refundable except as required by applicable law.
Standalone purchasers receive access to the Autopilot Service for as long as the Credentialing Hub is operational. Think Beyond Practice reserves the right to discontinue the Credentialing Hub with at least ninety (90) days' notice to active users. In the event of discontinuation, Provider will retain access to their credentialing data for a reasonable transition period.
Prices do not include applicable sales, use, or other taxes, which will be added where required by law.
Think Beyond Practice may change pricing for new purchasers at any time. Price changes do not affect existing standalone purchasers who have already completed their purchase.
Provider represents that all information provided to Think Beyond Practice for credentialing purposes is true, accurate, complete, and current to the best of Provider's knowledge. Provider acknowledges that submission of inaccurate or incomplete information to payers may result in:
Application denials
Delays in processing
Recoupment of payments
Termination of payer contracts
Legal or regulatory consequences
Provider is responsible for the accuracy of underlying credentialing information regardless of Think Beyond Practice's role in preparing or submitting applications.
Provider agrees to provide, upon request, documentation reasonably necessary for credentialing applications, which may include:
Professional license verification
Board certification documentation
DEA registration (where applicable)
Malpractice insurance certificates
W-9 or tax identification documentation
Education and training verification
Work history and references
Hospital affiliations (where applicable)
Sanctions and disciplinary history disclosures
Other documentation required by specific payers
Failure to provide required documentation in a timely manner may result in delays or termination of pending applications.
Provider agrees to respond promptly to Think Beyond Practice's requests for information, signatures, or decisions related to pending applications. Think Beyond Practice's ability to advance applications depends on Provider's timely cooperation.
Provider agrees to notify Think Beyond Practice promptly of any changes to:
Professional licensure status (suspensions, restrictions, lapses)
Practice address or location
Tax identification or NPI changes
Malpractice insurance changes
Sanctions, disciplinary actions, or pending investigations
Other information that may affect pending or active credentialing
Information Provider provides for credentialing purposes is treated as confidential. Think Beyond Practice will not disclose Provider's credentialing information to third parties except:
To payers as part of credentialing applications authorized by Provider
To Subprocessors as needed to deliver the Autopilot Service
As required by law, regulation, court order, or government inquiry
With Provider's express consent
In connection with a business transaction (acquisition, merger, financing) under appropriate confidentiality protections
Credentialing information provided by Provider is stored within the Credentialing Hub and supporting infrastructure. Storage practices are described in the Privacy Policy.
Credentialing information is retained for the duration of Provider's access plus such period as is required for tax, legal, or regulatory purposes (typically up to seven years after termination). Provider may request earlier deletion of specific information by contacting privacy@thinkbeyondpractice.com, subject to legal retention requirements.
Credentialing applications occasionally require limited information that may constitute PHI under HIPAA (such as Provider's own clinical history relevant to credentialing). To the extent any such PHI is involved, the Business Associate Agreement between Provider and Think Beyond Practice governs handling of that PHI.
For credentialing applications that involve patient PHI (rare; typically only if the credentialing process specifically requests case examples), the BAA also governs handling.
Think Beyond Practice will perform Autopilot Service activities with reasonable diligence and in accordance with industry standards for credentialing administrative support.
Think Beyond Practice will use commercially reasonable efforts to maintain the following communication cadence with Provider:
(a) Initial application submission: Automated outreach emails are sent promptly after Provider selects payers and signs the Letter of Authorization within the Credentialing Hub.
(b) Status updates: Provided through the Credentialing Hub dashboard and periodic notification emails as payer replies are received and parsed.
(c) Notification of material developments: Targeted within five (5) business days of the system's awareness of an application denial, payer request for additional information, application approval, or other material change.
(d) Automated follow-ups: Sent to payers at 30, 60, and 90 day intervals when no response has been received.
These cadences represent target performance levels using commercially reasonable efforts, not service level guarantees.
Provider acknowledges that the following factors are outside Think Beyond Practice's control and may affect timelines and outcomes:
Payer responsiveness and processing times
Payer-specific requirements that may change without notice
Network status changes (panels closing or opening)
Provider's licensing, sanctions, or disciplinary history
Disputes between Provider and prior employers, payers, or regulators
Force majeure events
The Autopilot Service is administrative support, not a guarantee of credentialing outcomes. Think Beyond Practice does not guarantee:
Approval of any application
Specific timelines for any payer
Specific contract terms or fee schedules
That a payer will accept Provider into a panel
That credentialing will result in any specific revenue outcome
Think Beyond Practice's performance of the Autopilot Service depends in part on third-party systems and data over which Think Beyond Practice has no control, including:
(a) Payer credentialing portals, application systems, and electronic submission infrastructure
(b) Payer communications channels (email, fax, portal messaging)
(c) Provider verification databases (license verification services, NPI registry, OIG exclusion databases, NPDB)
(d) CAQH ProView and similar shared credentialing data systems
(e) Documents and information provided by Provider
Errors, delays, outages, or inaccuracies in any of these external sources may affect Think Beyond Practice's ability to perform the Autopilot Service. Think Beyond Practice is not liable for delays or errors attributable to external sources beyond its reasonable control.
Provider acknowledges that Think Beyond Practice relies on the accuracy of information Provider provides and the integrity of third-party verification sources. Where Provider provides inaccurate information or where third-party verification sources contain errors, Provider remains responsible for the consequences of submissions based on such information.
By accepting this Agreement, Provider acknowledges and agrees that:
(a) Credentialing involves disclosure of sensitive professional and personal information that Provider has chosen to share with Think Beyond Practice for the limited purpose of credentialing administration
(b) Credentialing decisions are made by payers, not by Think Beyond Practice, and Think Beyond Practice has no authority over payer decisions
(c) Provider's own credentialing history, professional standing, and disclosures will significantly influence credentialing outcomes
(d) Some payer panels may be closed to new providers, and Think Beyond Practice cannot influence panel status
(e) Credentialing timelines vary widely by payer and are typically measured in months, not weeks
(f) Provider's continued cooperation is essential to credentialing progress
(g) Think Beyond Practice's fees are for the Autopilot Service work performed, not contingent on credentialing outcomes
For standalone purchasers, this Agreement is effective on the date of Provider's acceptance and continues for as long as Provider maintains access to the Autopilot Service. For members, this Agreement is effective during Provider's active membership and terminates when membership ends (unless Provider has also purchased standalone access).
Provider may terminate this Agreement at any time by contacting credentialing@thinkbeyondpractice.com. Standalone purchasers who terminate voluntarily are not entitled to a refund beyond the fifteen-day guarantee period described in Section 3.3.
Think Beyond Practice may suspend or terminate this Agreement, with or without notice, for:
Provider's material breach of this Agreement, the Terms of Service, or the BAA
Provider's submission of materially false or misleading information
Provider's loss of professional licensure, certification, or other credentials necessary for credentialing
Conduct by Provider that Think Beyond Practice reasonably believes poses a risk to Think Beyond Practice, its Members, payers, or third parties
Discontinuation of the Autopilot Service
Upon termination:
Think Beyond Practice will cease initiating new credentialing actions on Provider's behalf
Think Beyond Practice will provide Provider, upon request, a reasonable summary of pending application status to facilitate Provider's transition to self-management or another service
Provider's data within the Credentialing Hub remains available to Provider for a reasonable transition period
Sections that by their nature should survive termination (including Sections 4, 5, 9, 10, 11, 12, and 13) will survive
For thirty (30) days after termination, Think Beyond Practice will, upon Provider's reasonable request, provide assistance with transitioning credentialing in progress to Provider or another service, including:
Status summaries for pending applications
Copies of documents submitted to payers
Logs of recent payer communications
Authorization revocations where applicable
The Autopilot Service is provided without warranty of credentialing outcomes. Think Beyond Practice disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement, except as specifically set forth in this Agreement.
To the fullest extent permitted by law, Think Beyond Practice's aggregate liability arising from or related to this Agreement, the Autopilot Service, or any credentialing outcome is limited to the greater of:
(a) The fees Provider paid Think Beyond Practice for the Autopilot Service, or
(b) Five hundred dollars ($500)
Think Beyond Practice is not liable for:
Lost profits, revenue, business opportunity, or goodwill
Lost contracts with payers
Recoupment of payments by payers
Decisions by payers, including denials, rate offerings, or panel closures
Damages arising from Provider's own credentialing history, professional standing, or disclosures
Damages arising from Provider's failure to provide accurate, complete, or timely information
Damages arising from delays attributable to payers
Provider agrees to indemnify, defend, and hold harmless Think Beyond Practice and its owners, officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from or related to:
Provider's breach of this Agreement
Inaccurate, false, incomplete, or misleading information provided by Provider
Provider's professional conduct or clinical practice
Provider's contractual obligations to payers or third parties
Provider's violation of applicable laws or regulations
Think Beyond Practice provides administrative services to Provider as an independent contractor. The limited agency authority granted in Section 2.1 exists only for the specific credentialing administrative acts described therein and does not create a broader employment, partnership, joint venture, fiduciary, or general agency relationship between the Parties. Outside the specific authorized acts in Section 2.1, Think Beyond Practice has no authority to act on Provider's behalf, and the relationship between the Parties remains that of independent contractor and client.
Think Beyond Practice is not engaged in the practice of medicine, the practice of law, or the provision of clinical, legal, financial, or regulatory advice. Autopilot Service activities are administrative in nature and do not constitute professional advice or representation.
Except as specifically authorized in Section 2.1, Think Beyond Practice has no authority to bind Provider to any agreement, contract, or obligation. Provider remains the sole party authorized to enter into payer contracts and other agreements affecting Provider's practice.
Provider acknowledges that, in the course of receiving the Autopilot Service, Provider may have access to or learn about Think Beyond Practice's proprietary processes, software, methods, and other confidential information ("Think Beyond Practice Confidential Information"). Provider agrees to:
(a) Treat Think Beyond Practice Confidential Information as confidential
(b) Not disclose Think Beyond Practice Confidential Information to third parties without Think Beyond Practice's written consent
(c) Not use Think Beyond Practice Confidential Information for any purpose other than Provider's use of the Autopilot Service
(d) Not reverse engineer, copy, or replicate Think Beyond Practice's processes, software, or methods
These confidentiality obligations survive termination of this Agreement.
Before filing a formal claim, Provider agrees to first attempt to resolve any dispute informally by contacting legal@thinkbeyondpractice.com with a written description of the issue. The Parties will attempt in good faith to resolve the dispute through negotiation within thirty (30) days.
This Agreement is governed by the laws of the State of Washington, without regard to conflict of law principles.
Any dispute arising from this Agreement that is not resolved informally shall be brought exclusively in the state or federal courts located in Spokane County, Washington. Both Parties consent to the personal jurisdiction of those courts.
To the fullest extent permitted by law, both Parties agree that disputes will be resolved on an individual basis and not as part of any class, collective, or representative action.
This Agreement, together with the Terms of Service, the Privacy Policy, and (where applicable) the Business Associate Agreement, constitutes the entire agreement between the Parties regarding the Autopilot Service and supersedes all prior agreements, understandings, and communications regarding the same subject matter.
If any provision of this Agreement is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other provision.
Provider may not assign this Agreement without Think Beyond Practice's prior written consent. Think Beyond Practice may assign this Agreement in connection with a merger, acquisition, sale of assets, or similar transaction.
Neither Party is liable for delays or failures in performance caused by circumstances beyond reasonable control, including natural disasters, acts of war, government actions, internet or infrastructure failures, payer system outages, or pandemics.
